These Terms & Conditions (“Terms”) apply to all purchases and use of our digital products, templates, online courses, coaching/consulting services, websites and related services (collectively, the “Services”) offered by Natalia Kalinska (“we”, “us”, “our”). By purchasing or accessing any of our Services, you (“you”, “your”, the “Customer”) agree to be bound by these Terms. If you do not agree, do not purchase or access our Services.

1. Definitions

1.1 “Digital Products” means downloadable content such as Notion templates or other files.
1.2 “Course(s)” means online courses delivered via Teachable or any successor platform.
1.3 “Services” means Digital Products, Courses, and any coaching/consulting we provide.
1.4 “Platform” means our Teachable school and any platforms we use to deliver Services.
1.5 “Course Materials” means content within Courses (videos, text, PDFs, databases, assets).
1.6 “Fees” means amounts payable for the Services.
1.7 “Intellectual Property Rights” means copyrights, database rights, trade marks, design rights, trade secrets and all similar rights, whether registered or unregistered.
1.8 “Lifetime access” means access for so long as the relevant Course is made available by us on the Platform; it does not refer to your lifetime.

2. Eligibility

You must be at least 18 years old and capable of entering into a binding contract under Scots law to purchase or use the Services.

3. Ordering, Accounts & Access

3.1 Orders. Orders are placed through the Platform. An order is accepted when payment is confirmed and you receive access or a confirmation email.
3.2 Accounts. You must provide accurate information and keep your login details secure. Accounts are for individual use only; sharing logins is prohibited.
3.3 Access Duration. Unless stated otherwise, Digital Products are delivered as a download and Courses are provided with lifetime access (as defined in 1.8). We may update, modify, or discontinue any Course in our discretion; if discontinued, reasonable notice will be provided; no refunds are due for prior purchases.
3.4 Technical Requirements. You are responsible for having suitable internet access, software, and devices to consume the Services.
3.5 Prohibited Sharing. You must not share, resell, redistribute, republish or make the Services available to third parties except as expressly permitted in these Terms.

4. Fees, Payment & Taxes

4.1 Currency. Fees are listed and charged in US Dollars (USD) unless we state otherwise.
4.2 Payment Processing / Merchant of Record. Payments are processed via Teachable Pay (and its payment partners such as Stripe or PayPal). Any applicable taxes (e.g., VAT/sales tax) are calculated and collected at checkout by Teachable as required by law.
4.3 Bank/FX Fees. You are responsible for any bank charges, currency conversion fees, or other charges imposed by your provider.
4.4 Payment Plans. We may offer instalment plans or subscriptions in the future. Any plan‑specific terms (billing dates, number of payments, and consequences of non‑payment) will be displayed at checkout and form part of these Terms. If you enrol in a plan, you agree to pay all instalments when due; failure to pay may result in suspension of access.
4.5 Non‑Payment. If you fail to pay on time, we may revoke access to the relevant Services without refund for amounts already paid.

5. Refunds & Right of Withdrawal (Digital Content)

5.1 Digital Products (Templates). Due to their nature, Digital Products are non‑refundable once accessed or downloaded.
5.2 Courses. You may request a refund within seven (7) days of purchase and only if less than twenty percent (20%) of the Course has been completed according to the Platform’s records.
5.3 Bundles. If a purchase includes both refundable and non‑refundable items (e.g., a Course bundled with Templates), only the refundable portion may be eligible for a refund under clause 5.2.
5.4 After seven (7) days from purchase, no refunds will be issued under any circumstances.
5.5 How to Request. Refund requests must be submitted in writing to [email protected] within the applicable window; you must include your order email and receipt. We may require reasonable verification (e.g., progress data) to assess eligibility.
5.6 Digital Withdrawal Consent. By accessing Digital Products or commencing a Course immediately after purchase, you request immediate performance of the digital content and acknowledge that you lose the right to cancel under the UK Consumer Contracts Regulations 2013 once download or streaming begins.
5.7 Chargebacks. If you initiate a payment dispute contrary to our refund policy, we reserve the right to suspend your access to Services and recover any amounts owed, including reasonable costs of dealing with the dispute.

6. Licence & Intellectual Property

6.1 Ownership. All Intellectual Property Rights in the Services and Course Materials are owned by us or our licensors.
6.2 Licence to Templates. Subject to full payment, we grant you a limited, non‑exclusive, non‑transferable licence to use Templates for your personal use or internal business use only. You may not resell, sublicense, redistribute, publish, share, or make Templates available to third parties.
6.3 Licence to Courses. Subject to full payment, we grant you a limited, non‑exclusive, non‑transferable licence to access Course Materials for your own learning. You may not copy, record, rebroadcast, publish, or distribute Course Materials.
6.4 Prohibited Acts. Except as expressly permitted, you must not copy, modify, adapt, translate, reverse‑engineer, decompile, disassemble, extract databases, remove notices, or create derivative works from the Services.
6.5 Attribution & Marks. You must not remove or alter any copyright, trademark, or attribution notices.
6.6 Enforcement. We may monitor misuse (including sharing links, duplicate records, or unusual access) and take action including licence revocation and legal remedies.

7. Behaviour & Community Standards

7.1 Respectful Conduct. You must not post or transmit content that is unlawful, harassing, defamatory, discriminatory, or otherwise objectionable.
7.2 No Solicitation/Spam. Unsolicited promotions, commercial messaging, or recruiting of other students is prohibited without our written permission.
7.3 Moderation. We may moderate, edit, or remove content or comments and may suspend or terminate access for violations.
7.4 Termination for Misuse. We may suspend or terminate your access immediately, without refund, if you breach these standards or misuse our Intellectual Property.

8. Coaching/Consulting

8.1 Scope. If you purchase coaching or consulting, it is educational and informational; it is not financial, legal, or professional advice.
8.2 Confidentiality. We will keep your non‑public business information confidential, except where disclosure is required by law or with your consent. You agree not to disclose our confidential materials or strategies that are marked or reasonably understood as confidential.

9. Promotions, Coupons & Price Changes

9.1 Promotions. Promotional pricing and coupons are time‑limited, have no cash value, and cannot be combined unless expressly stated.
9.2 Errors. We may correct obvious pricing or typographical errors; if you do not wish to proceed at the corrected price, we will cancel and refund any amounts paid.
9.3 Price Changes. We may change prices for future purchases at any time. Price changes do not affect prior completed purchases.

10. Affiliate Links & Sponsorships

Some pages or emails may include affiliate links or sponsored recommendations, which means we may earn a commission if you purchase through those links. Commission does not affect the price you pay. We only recommend products/services we believe are useful; any sponsorship will be clearly identified in context.

11. Third‑Party Brands & Tools

We may reference or integrate third‑party tools and platforms (e.g., Notion, Canva). These are trademarks of their respective owners, and we are not affiliated with or endorsed by them unless expressly stated. Your use of third‑party tools is governed by their own terms and policies.

12. Feedback, Testimonials & User Content

If you voluntarily submit feedback, testimonials, or comments, you grant us a non‑exclusive, royalty‑free licence to use, reproduce and display that content for marketing or educational purposes, subject to applicable privacy laws and any express consent required for identifying information (e.g., your name or image).

13. Disclaimers

13.1 No Guarantees. Our Services are provided for educational and informational purposes only. We do not guarantee any particular results (including business, revenue, or social media outcomes). Results may vary from person to person.
13.2 No Professional Advice. Nothing in the Services constitutes legal, financial, tax, medical, or professional advice; you should seek your own professional advice.
13.3 “As Is”. To the fullest extent permitted by law, the Services are provided “as is” and “as available”. We disclaim all implied warranties.

14. Limitation of Liability

14.1 Cap. To the maximum extent permitted by law, our aggregate liability to you for any claims arising out of or in connection with the Services shall not exceed the Fees you paid to us for the specific Service giving rise to the claim.
14.2 Exclusions. We shall not be liable for any indirect, incidental, special or consequential losses, loss of profits, revenue, goodwill or data.
14.3 Non‑Excludable Liability. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Scots law.
14.4 Statutory Rights. Nothing in these Terms affects your statutory consumer rights under applicable laws.

15. Force Majeure

We shall not be liable for delay or failure to perform due to events beyond our reasonable control, including acts of God, war, terrorism, labour disputes, internet or platform outages, government action, or illness. Where feasible, we will take reasonable steps to mitigate the impact.

16. Informal Dispute Resolution

Before commencing any legal action, you agree to email [email protected] so we can try to resolve the issue informally within fourteen (14) days. This does not limit either party’s right to seek urgent injunctive relief where appropriate.

17. Changes to Services & Terms

17.1 Changes. We may update or modify the Services or these Terms from time to time. The latest version will be posted on our website/Platform and will apply to new purchases immediately.
17.2 Continued Use. Continued access after changes indicates acceptance of the updated Terms.

18. Assignment

You may not assign or transfer your rights under these Terms. We may assign or transfer our rights and obligations to a successor or affiliate as part of a business reorganisation or transfer, provided your rights are not materially affected.

19. Severability

If any provision is found unenforceable, the remainder of the Terms will continue in full force and effect, and the unenforceable provision will be deemed modified to the minimum extent necessary to be valid and enforceable.

20. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Scotland. The courts of Scotland shall have exclusive jurisdiction for any disputes arising out of or in connection with these Terms.

We will investigate and take appropriate action.
